按照国务院领导指示，由中国石油天然气集团公司独家发起设立中国石油天然气股份有限公司。为贯彻国务院领导关于“不因改制增加企业（中国石油天然气集团公司）税赋”的指示精神，全额免征中国石油天然气股份有限公司组建过程中承受集团公司土地使用权和房屋产权应缴纳的契税。
